These Terms of Service (the “Terms”) govern your access and use of our services, websites, applications, and tools (collectively, the “Services”) provided by MODO LLC (“LabMODO,” “we,” “our,” or “us”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
Using the Services
By accessing or using LabMODO’s Services, you confirm that you are 18 years of age or older and are authorized to use the Services. You agree to comply with these Terms and all applicable laws, regulations, and industry standards.
Account Registration and Responsibilities
To use our Services, you must create an account, providing accurate and complete information. You are responsible for maintaining the confidentiality of your account login information and are liable for all activities that occur under your account. You agree to notify LabMODO of any unauthorized access or security breach.
License
LabMODO grants you a limited, non-exclusive, non-transferable license to access and use the Services solely for your organization’s internal operations in managing training, SOPs, compliance, and related documentation. Any other use requires prior written permission from LabMODO.
User Content and Responsibility
Our Services allow you to upload, submit, or store content, such as SOPs, training records, compliance documents, and team information (“User Content”). By submitting User Content, you confirm you have all necessary rights and permissions and are solely responsible for its accuracy, completeness, and compliance with all applicable laws, including regulatory requirements.
SOP and Compliance Content Disclaimer
MODO LLC does not verify, endorse, or guarantee the accuracy or regulatory compliance of any User Content you provide. You bear sole responsibility for the accuracy, timely updating, and regulatory compliance of any SOPs or other documentation entered into LabMODO. MODO LLC is not liable for any compliance issues, damages, or legal actions arising from inaccurate or incomplete User Content.
Prohibited Uses
You agree not to use the Services:
- To upload or share any unlawful, defamatory, or malicious content.
- To infringe on any intellectual property rights of others.
- To distribute viruses, malware, or other harmful code.
- To interfere with or disrupt the integrity or performance of our Services or the data of other users.
Violation of these prohibited uses may result in immediate termination of your account without notice and potential legal action.
Service Modifications and Availability
LabMODO reserves the right to modify or discontinue, temporarily or permanently, any part of the Services at any time without liability to you. We strive to maintain a reliable service, but we do not guarantee uninterrupted access to the Services and are not responsible for any interruptions, delays, or errors.
Fees and Payment
Certain aspects of the Services may be subject to fees, which are clearly outlined during the registration or billing process. By selecting a paid Service, you agree to pay all applicable fees and taxes. Prices for Services may change at any time, including the possibility of price increases. We will notify you of any changes in advance, either through email or by posting the changes on our website. Your continued use of the Services after a price change takes effect constitutes your acceptance of the new price.
All fees are non-refundable unless explicitly stated otherwise.
Intellectual Property
All rights, title, and interest in and to the Services, including intellectual property rights, belong solely to MODO LLC. You may not copy, distribute, modify, or create derivative works based on our Services without express permission.
You retain all rights to your User Content. By uploading User Content, you grant MODO LLC a worldwide, non-exclusive, royalty-free license to use, store, display, and reproduce it solely for the purpose of providing the Services.
Termination and Suspension
LabMODO may terminate or suspend your access to the Services at any time, with or without cause, and without prior notice if you violate these Terms or engage in unlawful activity. Upon termination, your right to access and use the Services will immediately cease, and any licenses granted by these Terms will terminate.
Disclaimer of Warranties
Our Services are provided “as-is” and “as available,” without any warranties of any kind. MODO LLC disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that our Services will be uninterrupted, error-free, or secure, or that any data provided by our Services will be accurate or reliable. You are solely responsible for verifying any data or information provided through our Services before relying on it.
Limitation of Liability
To the fullest extent permitted by law, MODO LLC and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, data loss, or business interruption, arising from or in connection with the use of or inability to use the Services, even if MODO LLC has been advised of the possibility of such damages.
In no event shall MODO LLC’s total liability exceed the fees you paid for the Services within the twelve (12) months prior to the incident giving rise to the liability.
Indemnification
You agree to indemnify, defend, and hold harmless MODO LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including legal fees, arising out of or in connection with your use of the Services, any User Content, or any violation of these Terms.
Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the state of Maryland, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or the Services will be resolved through binding arbitration, unless you and MODO LLC agree otherwise in writing. Arbitration will be conducted in Maryland.
Changes to the Terms
MODO LLC may modify these Terms from time to time. We will notify you by updating the “Last updated” date at the top of these Terms or by sending you an email. Your continued use of the Services after any changes means you accept the modified Terms.
